SECP Investigates SE Fruits IPO After Auditor Blunder

The SECP SE Fruits IPO probe has widened the fallout from a failed listing. The Securities and Exchange Commission of Pakistan is initiating regulatory action over material discrepancies in the IPO prospectus of SE Fruits and Vegetable Limited, which rested on the company’s audited financial statements.

The regulator suspended further proceedings after the book-building process to protect investors. The company later withdrew its IPO voluntarily and said it would resubmit it with more detailed disclosures. All subscription money has been refunded.

How the discrepancies came to light

The SECP is reviewing the case to determine responsibility for procedural irregularities. The regulator said appropriate action would follow if violations are established.

Its preliminary review found significant differences between the company’s reported sales and the figures in its tax returns, bank accounts and customs declarations. Sources said the commission identified material misstatements in the audited financial statements.

The figures include a PKR 3.9 billion difference between sales shown in the financial statements and sales tax returns for 2022 to 2026. Local sales worth PKR 113 million were omitted from the company’s 2024 income tax return. Reported sales, after accounting for closing receivables, exceeded bank account credits by PKR 865 million.

Export figures also drew scrutiny. Export sales in the financial statements were 47 per cent higher than customs Goods Declarations for 2025-26. The gap between invoices and customs declarations stood at roughly 56 per cent, and PKR 120.9 million remained unreconciled between export sales, receivables and receipts.

The 2025-26 accounts were audited by Ilyas Saeed & Co., Chartered Accountants. Sources said the SECP is considering referring the matter to the Audit Oversight Board over concerns about whether the auditor verified the figures and reported the gaps.

The company’s side of the story

SE Fruits and Vegetable Limited, formerly Shaheen Enterprises, is a Punjab-based horticulture exporter of mangoes, kinnow and potatoes. The business ran as a partnership since 1998 before its incorporation as a public limited company in 2026.

The board decided to withdraw the IPO application and file a fresh one with added disclosures about that transition. It said the move served transparency, regulatory compliance and investor protection, and stressed the withdrawal was procedural, not an abandonment of its listing plans.

The IPO was meant to raise Rs1.2 billion to Rs1.92 billion for working capital, export expansion, offices in the United Arab Emirates and Uzbekistan, and technology upgrades. The book-building portion closed at a strike price of Rs40 per share, with demand reaching 1.6 times the shares offered.

What the SECP SE Fruits IPO probe means for investors

An SECP IPO investigation is a regulatory enforcement process, not a verdict. When the commission finds material gaps in a prospectus, it can halt the listing, demand corrections and examine who is responsible: the company, its directors, the auditor or the consultants to the issue. If the review establishes violations, the commission can impose penalties and pursue criminal proceedings where the law allows.

The stakes are set out in the Securities Act, 2015. Under Sections 134 and 136, fraudulently inducing securities transactions and making false or misleading statements are criminal offences. These provisions exist because the prospectus is the main document investors rely on before buying into a new listing.

The case also revives a wider debate about audit quality. The SECP has stressed the need to strengthen the Audit Oversight Board and align its legal framework with international practices and the principles of the International Forum of Independent Audit Regulators.

Feature Pakistan has followed the SECP’s enforcement drive. The commission created a Corporate Intelligence Unit to catch Ponzi schemes before savers lose money, and it issued a new terror-financing guidebook for regulated firms. How an IPO reaches the market

A company seeking IPO funds must disclose its financial position, business plans and risks in a prospectus. An external auditor reviews the records, and the consultant to the issue conducts due diligence before submitting the application to the Pakistan Stock Exchange. The PSX listing committee reviews it and seeks public comments on the draft prospectus. Once approved, the prospectus is published on the SECP’s online PRIDE portal and book-building can begin.
